Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you and Oven LLC, a New York limited liability company (“Oven,” “we,” “us,” or “our”), and govern your access to and use of the website located at www.oven.tools, any subdomains, mobile-optimized versions, APIs, and any related services (collectively, the “Platform”). Please read them carefully. By accessing or using the Platform you agree to these Terms, our Privacy Policy, and any additional posted policies. If you do not agree, do not use the Platform.

IMPORTANT: These Terms contain a binding arbitration clause and class action waiver (Sections 40–42). They affect how disputes between you and Oven are resolved. By using the Platform you agree to arbitrate disputes on an individual basis and waive your right to a jury trial and to participate in a class action, except where prohibited by law.

1. Definitions

Adult-Use Cannabis” means cannabis and cannabis products intended for adult recreational use as regulated under the New York Cannabis Law and rules promulgated by the New York State Office of Cannabis Management (“OCM”). “Licensed Retailer” means a person or entity holding a valid New York adult-use retail dispensary license and using the Platform to list products for sale. “Delivery Partner” means an OCM-authorized delivery entity or a Licensed Retailer’s own W-2 delivery personnel that fulfills orders. “Consumer” means an end-user purchasing or browsing products through the Platform. “Content” means all information, text, graphics, images, product listings, reviews, recommendations, and other materials made available on the Platform. “Order” means a Consumer’s request to purchase products from a Licensed Retailer through the Platform. “User” means any person who accesses the Platform, including Consumers, Licensed Retailers, and Delivery Partners.

2. Acceptance of Terms

By creating an account, placing an Order, browsing the Platform, or otherwise accessing any part of the Platform, you represent that you have read, understood, and agree to be bound by these Terms and all documents incorporated by reference, including the Privacy Policy, any Retailer Agreement (if applicable), any Delivery Partner Agreement (if applicable), and any product-specific disclaimers shown at checkout. If you use the Platform on behalf of an entity, you represent that you are authorized to bind that entity.

3. Eligibility (21+)

The Platform is available only to individuals who are at least twenty-one (21) years of age. By using the Platform you represent and warrant that you are 21 or older, that you have the legal capacity to enter into these Terms, and that you have not previously been suspended or removed from the Platform. Oven reserves the right to request proof of age at any time and to refuse service to anyone who cannot verify age. Providing false information about your age is a material breach of these Terms and may constitute a violation of New York law.

4. New York Residency & Geographic Restrictions

The Platform is intended for persons physically located in the State of New York within delivery zones authorized by OCM and served by Licensed Retailers on the Platform. As of the effective date, deliveries are limited to certain ZIP codes in Manhattan (100xx–102xx) and Brooklyn (112xx), and are subject to change. You may not use the Platform to purchase cannabis products for delivery outside of New York State or across state lines. Interstate transport of cannabis is a federal crime under the Controlled Substances Act.

5. Cannabis Legal Disclaimers

Cannabis is a Schedule I controlled substance under the federal Controlled Substances Act. Although New York State has legalized adult-use cannabis, its use, possession, sale, and delivery remain illegal under federal law. Nothing on the Platform constitutes legal advice or an offer or solicitation in any jurisdiction where such offer or solicitation would be unlawful. You assume all risk associated with cannabis use and understand that consumption may impair cognitive, motor, and other functions. Do not operate motor vehicles, heavy machinery, or engage in other activities requiring alertness after using cannabis. Cannabis is not intended for use by pregnant or nursing individuals or persons under 21.

6. Platform Role

Oven operates a technology marketplace that connects Consumers with Licensed Retailers and facilitates the ordering and delivery of Adult-Use Cannabis. Oven is not a licensed cannabis retailer, wholesaler, cultivator, processor, or distributor. Oven does not take title to any cannabis product, does not touch cannabis inventory, and does not directly sell, possess, or deliver cannabis. All sales occur between the Consumer and the Licensed Retailer; the Licensed Retailer is the “seller of record” for tax and regulatory purposes.

7. Licensed Retailers

Each Licensed Retailer on the Platform has represented to Oven that it holds a current, valid OCM adult-use retail dispensary license. Retailers are solely responsible for the accuracy of their listings, product safety, product testing, labeling, packaging, storage, taxes, sales, refunds, and compliance with all applicable laws and OCM rules. Oven makes no representation or warranty as to any Licensed Retailer’s conduct, product quality, or compliance beyond confirming the existence of an OCM license number at onboarding.

8. Delivery Services

Deliveries are performed by Delivery Partners operating under OCM authorization. Delivery windows are estimates and are not guaranteed. All deliveries must be made to a physical address that is not located on federal property, on school grounds, in a vehicle, in a public place, or in any location where cannabis possession or consumption is prohibited. The Consumer whose name appears on the Order must be present and personally present a valid, government-issued photo ID showing they are 21+ at the time of delivery. If ID cannot be verified or the recipient appears intoxicated or under 21, the Delivery Partner is required by law to refuse delivery and may return the Order, subject to applicable restocking fees.

9. Orders

When you place an Order, you are making an offer to purchase from the applicable Licensed Retailer, which the Licensed Retailer may accept or reject in its sole discretion. An Order is accepted only when the Licensed Retailer confirms it in the Platform. Prior to acceptance, either party may cancel without penalty. All Orders are subject to OCM daily possession limits, currently three (3) ounces of cannabis flower and twenty-four (24) grams of concentrate per Consumer per day. The Platform will refuse Orders that would cause you to exceed these limits.

10. Pricing & Taxes

Prices displayed on the Platform are set by the Licensed Retailer and are subject to change without notice. Applicable New York State adult-use cannabis taxes (currently a 13% combined excise and local tax) will be itemized at checkout. Prices do not include Oven’s service fee (currently 6% of subtotal plus taxes) or any applicable delivery fee set by the Licensed Retailer, each of which will be itemized before you confirm the Order.

11. Payments

Payments are processed through PayPal and, where enabled, PayPal-tokenized card transactions. Oven does not store full payment card numbers on its systems. Because most banks decline direct cannabis transactions, funds may appear on your statement as a payment to a payment processor rather than to the Licensed Retailer or to Oven. You authorize Oven, the Licensed Retailer, and the payment processor to charge your selected payment method for the full Order total, including taxes, service fees, delivery fees, tips (if any), and any restocking or re-delivery fees. Cash payments to Delivery Partners are not accepted unless expressly permitted at checkout.

12. Returns & Refunds

For safety and regulatory reasons, cannabis products generally cannot be returned once dispensed. Refunds are issued at the discretion of the Licensed Retailer for defective, damaged, mispicked, or undelivered products, and in accordance with OCM guidance. If an Order is cancelled by the Licensed Retailer, fails to deliver, or is otherwise not fulfilled, Oven will facilitate a refund of the applicable amounts to your original payment method. Service fees for successfully delivered Orders are non-refundable except as required by law.

13. Product Information

Product descriptions, cannabinoid percentages, terpene profiles, images, effects, and any other Content provided by Licensed Retailers or manufacturers are for informational purposes only, are supplied by third parties, and may contain inaccuracies. Oven does not independently test cannabis products. Actual product characteristics may vary between batches.

14. Health Warnings

WARNING: Cannabis has intoxicating effects and may be habit forming. Cannabis can impair concentration, coordination, and judgment. Do not operate a vehicle or machinery under the influence of cannabis. There may be health risks associated with consumption of cannabis, particularly for pregnant or nursing individuals. Keep out of reach of children and pets. Cannabis products have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease.

15. User Accounts

You must create an account to place Orders. You agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; (c) safeguard your password; and (d) be responsible for all activities that occur under your account. Notify us immediately at support@oven.tools of any unauthorized use. We may suspend or terminate accounts that violate these Terms, applicable law, or that we reasonably suspect of fraud, misuse, or safety risk.

16. Identity Verification

To comply with New York cannabis law, we verify identity using a combination of government-issued photo ID upload, optional selfie comparison, and automated age/identity checks. You consent to the collection, processing, and short-term storage of biometric-adjacent identifiers (e.g., ID photo, optional selfie) for this limited purpose. You may request deletion of these records after your account is closed, subject to legal retention requirements.

17. Age Verification

Age verification occurs at (a) account creation, (b) checkout (attestation), and (c) delivery (in-person ID check). Attempting to circumvent age verification — including using another person’s ID, altering an ID, or purchasing on behalf of a person under 21 — is prohibited, is a violation of New York law, and will result in immediate account termination and possible referral to law enforcement.

18. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not use the Platform in a way that could damage, disable, overburden, or impair it; interfere with other Users’ use; or attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform.

19. Prohibited Conduct

You will not: (a) resell any cannabis product purchased through the Platform; (b) purchase cannabis on behalf of any person under 21; (c) transport cannabis across state lines; (d) consume cannabis in a motor vehicle or in public; (e) use the Platform in connection with any commercial diversion of cannabis; (f) scrape, reverse engineer, or copy any portion of the Platform; (g) upload malicious code; (h) use bots or automated means to access the Platform; (i) misrepresent your identity, age, or residency; (j) impersonate Oven, a Licensed Retailer, or a Delivery Partner; or (k) use the Platform in any way that violates federal, state, or local law.

20. Intellectual Property

The Platform and all Content (excluding User Content and Licensed Retailer product listings), including all trademarks, service marks, logos (including “Oven”), the site design, source code, and all compilations thereof, are owned by or licensed to Oven LLC and are protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. All rights not expressly granted are reserved.

21. User Content

If you submit reviews, ratings, comments, chat messages, or other content (“User Content”), you grant Oven a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the User Content in connection with the Platform and Oven’s business. You represent that you own or have the right to submit the User Content and that it does not infringe any third-party rights. Oven may remove any User Content at its discretion.

22. SMS Terms

By providing your mobile number and opting in, you consent to receive transactional SMS messages from Oven and Licensed Retailers about your Orders (e.g., confirmation, delivery status, driver arrival) and, if you separately opt in, marketing messages. Message and data rates may apply. Frequency varies. Reply HELP for help, STOP to cancel. Consent is not a condition of purchase.

23. Email Communications

By creating an account, you consent to receive transactional emails necessary to provide the service (receipts, order updates, verification, security notices, legal notices). Marketing emails are opt-in and may be unsubscribed at any time via the link in each message.

24. Marketing Consent

Cannabis marketing is subject to strict OCM rules. Oven and Licensed Retailers will not knowingly target marketing to persons under 21 or use imagery or themes prohibited under OCM regulations. You may withdraw marketing consent at any time.

25. Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, share, and protect information.

26. Third-Party Services

The Platform integrates with third-party services (e.g., PayPal, Google Maps, Lovable AI Gateway, hosting providers, SMS providers). Your use of those services is subject to their respective terms and privacy policies. Oven is not responsible for third-party services, and their availability may affect Platform features.

27. Retailer Responsibilities

Licensed Retailers are independently responsible for: (a) maintaining a valid OCM license and all required permits; (b) accurate product listings, testing, labeling, packaging, and storage; (c) collecting and remitting all applicable taxes; (d) sale, refund, and complaint handling; (e) compliance with all OCM advertising, marketing, and packaging rules; (f) employee training; (g) maintaining insurance as required by law; and (h) reporting adverse events. A separate Retailer Agreement governs additional obligations between Oven and each Licensed Retailer.

28. Delivery Partner Responsibilities

Delivery Partners are independently responsible for: (a) OCM-required training and authorization; (b) age verification at delivery; (c) route logging and transport manifests; (d) refusal of delivery to intoxicated persons or persons under 21; (e) safe custody of product during transport; and (f) compliance with motor vehicle and delivery laws. A separate Delivery Partner Agreement governs additional obligations.

29. Compliance with OCM Regulations

The Platform is designed to help facilitate compliance with the New York Cannabis Law and OCM rules, including 9 NYCRR Parts 113–133 (as amended). If any Term conflicts with a mandatory OCM rule, the OCM rule controls. Oven may modify the Platform without notice to maintain compliance.

30. Geographic Restrictions

Delivery zones are determined by Licensed Retailer coverage and OCM-approved areas and may be added, restricted, or removed at any time. Attempting to circumvent geographic restrictions (e.g., by falsifying an address or using a VPN) is prohibited.

31. Product Availability

All products are subject to availability. Product listings do not constitute an offer to sell. Oven and Licensed Retailers reserve the right to limit quantities, refuse Orders, discontinue products, or correct pricing errors at any time.

32. Risk of Loss

Risk of loss and title to cannabis products pass to the Consumer upon successful delivery and age verification at the delivery address. If a delivery fails because you are unavailable, unable to verify age, or in violation of these Terms, risk of loss remains with the Licensed Retailer and the Order may be cancelled.

33. Warranty Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR AS REQUIRED BY LAW, THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED USE. OVEN MAKES NO WARRANTY REGARDING CANNABIS PRODUCTS THEMSELVES, ALL OF WHICH ARE PROVIDED BY LICENSED RETAILERS.

34. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OVEN LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM. OVEN’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OVEN IN SERVICE FEES IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

35. Indemnification

You agree to indemnify, defend, and hold harmless Oven LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; (d) your User Content; or (e) any Order you place.

36. Force Majeure

Oven is not liable for any failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, changes in law or regulation, epidemics or pandemics, labor disputes, utility or telecommunications failures, cyber attacks, or third-party service outages.

37. Governing Law

These Terms and any dispute arising out of or relating to the Platform are governed by the laws of the State of New York, without regard to its conflict-of-laws principles, and, where applicable, the U.S. Federal Arbitration Act.

38. Venue

Subject to Section 40 (Arbitration), any judicial action permitted under these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

39. Informal Dispute Resolution

Before initiating arbitration, you agree to first send a written notice of the dispute to legal@oven.tools describing the nature and basis of the claim and the relief sought. The parties shall attempt in good faith to resolve the dispute within sixty (60) days.

40. Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (except for small-claims matters and injunctive relief for intellectual property claims) shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in New York County, New York, unless the parties agree otherwise or the arbitrator orders otherwise for convenience. The arbitrator’s decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

41. Jury Trial Waiver

YOU AND OVEN EACH WAIVE THE RIGHT TO A TRIAL BY JURY in any action, proceeding, or counterclaim arising out of or relating to these Terms or the Platform.

42. Class Action Waiver

YOU AND OVEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of a representative or class proceeding. If this waiver is found unenforceable, the entirety of Section 40 shall be null and void, but the remainder of these Terms shall remain in effect.

43. Opt-Out of Arbitration

You may opt out of arbitration and the class action waiver by sending written notice to legal@oven.tools within thirty (30) days of first accepting these Terms. Your notice must include your name, address, account email, and a statement that you wish to opt out.

44. Severability

If any provision of these Terms is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

45. Assignment

You may not assign or transfer these Terms or any rights hereunder without Oven’s prior written consent. Oven may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

46. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least seven (7) days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform.

47. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 20, 21, 33–46, and 49–52) shall survive.

48. DMCA Policy

Oven respects intellectual property rights. If you believe that content on the Platform infringes your copyright, please send a DMCA notice to dmca@oven.tools including: (a) a physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing; (d) your contact information; (e) a statement of good-faith belief; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act. We will respond in accordance with 17 U.S.C. § 512.

49. Accessibility

Oven is committed to making the Platform accessible to persons with disabilities and works toward conformance with WCAG 2.1 Level AA. To report an accessibility issue or request an accommodation, contact accessibility@oven.tools.

50. Electronic Signatures & Communications

You consent to receive communications from us electronically and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures (including account creation and clicking “I agree”) as legally binding under the E-SIGN Act and applicable state laws.

51. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with Oven (e.g., a Retailer Agreement or Delivery Partner Agreement), constitute the entire agreement between you and Oven regarding the Platform and supersede all prior or contemporaneous understandings.

52. Miscellaneous

No waiver of any Term shall be a further or continuing waiver of such term or any other term. Headings are for convenience only and do not affect interpretation. If Oven fails to enforce any right or provision, that failure is not a waiver. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. These Terms are drafted in English; any translation is for convenience only.
